    Abstract:

    We find that information leakages prior to public guidance issued by Company Management exist even after Regulation FD, and are more pronounced when characteristics of the firm, the guidance, or the industry reflect higher levels of information asymmetry. Since public guidance is only partially leaked, this information leakage can be used to anticipate the information content of the impending public guidance. We simulate a trading strategy based on the pre-guidance leakage in the period after Regulation FD, which suggests that information leakage is an effective signal of the information content within impending public guidance.

    Abstract:

    The defense industry is unlike other industries due to the nature of its products and given the significance of the defense industry for national security. Since the end of the Cold War, the European defense industry has undergone a huge transformation. Decline in demand for military equipment and growing research and development costs for major weapons systems have strengthened economic pressure to concentrate arms-production activities in Europe. Co-operation in the European defense industry sector has taken different forms, shapes and magnitudes. Reconstruction of the European defense industry through mergers, acquisitions and joint-ventures is being shaped by strong market. There is a growing tendency towards greater co-operation and collaboration at the European level (regionalization) in order to create a competitive European defense industry, capable to compete, cooperate and integrate on equal terms with stronger and more productive American arms-producing companies. A combination of liberalism and mercantilism focuses on competition and the need to maintain considerable European capacity and autonomy in the field of armaments production. Such a balance would not only encourage a greater degree of transatlantic competition but also transatlantic co-operation.

    U radu autorica analizira položaj uprave ciljnog drustva u odnosu na ponudu za neprijateljsko prezimanje i njezinu mogucnost da poduzme mjere obrane u cilju zastite drustva i dionicara prema pravu Njemacke, pravu EU i Hrvatske.Pravilo stroge neutralnosti uprave nakon podnosenja ponude za neprijateljsko preuzimanje, koje zabranjuje upravi poduzimanje bilo koje mjere obrane koja može osujetiti ponudu je element prema kojem se razlikuje uspoređena regulativa.Ovo pravilo ukljuceno u prijedlog smjernice 13EU o ponudi za preuzimanje, autorica istice kao temeljni razlog za dugotrajne rasprave i odbijanje prijedloga. Iako je usklađivanje pava preuzimanja u okviu EU preduvjet za stvaranje integriranog financijskog tržista EU, prijedlog smjernice 13 je odbijen, jer ne udovoljava potrebama drustva i dionicara u slucaju preuzimanja.Autorica zakljucuje da usprkos riziku da uprava ovlastenje za poduzimanje mjera obrane protiv neprijateljske ponude koristi za zastitu svojih, a ne interesa drustva i dionicara, ipak je potrebno ovlastiti upravu za poduzimanje mjera obrane, ali pod kontrolom dionicara.Ovom zahtjevu vise udovoljava novi njemacki zakon o preuzimanju od prijedloga smjernice 13. o ponudi za preuzimanje i hrvatskog Zakona o preuzimanju, koji je u najvecem djelu sukladan prijedlogu smjernice.

    Abstract:

    Abstract Based on the analysis of foreign direct enterprises in China, our study developed a novel conceptual Structural Equation Model for assessing the role of environmental innovation behavior in mediating environmental regulations and performance of Chinese foreign direct investment enterprises, from the perspective of host country government and parent Company. This paper performed a thorough investigation of selected foreign direct investment enterprises in China. Through the structural equation model analysis and the bootstrap mediating method, we established that innovation behavior plays a fully mediating role. Although environmental regulation and cross-border environment Management have no direct effect on high-level environmental performance, environmental regulation stimulates environmental innovation behavior either directly or indirectly through the parent Company. Further, our study revealed that the effect of parent Company cross-border environment Management is more obvious than that of local environmental regulation on environmental performance. Nevertheless, the combined effect of the two mediating variables is the highest; though, they play varied roles across the different independent variables. This study, additionally, offers crucial policy recommendations for managers, governments and key stakeholders of China towards augmenting FDI whilst embracing environmental protectionism mechanisms.

    Abstract:

    Literature review highlights the importance of TQM for SMEs to improve their current business practices as well as quality of products and services, to ensure long‐term survival. However, there are several barriers to effective implementation of TQM in such organizations, namely, the apparent lack of business experience and knowledge, and limitation of financial as well as human resources. Singaporean SMEs account for a large share of its economy, however, little has been written on how TQM has been applied in these companies in Singapore and the region. This paper reports the results of a pilot study conducted among a sample of local SMEs. The findings are compared to an earlier work done in Singapore. Furthermore, this paper reports the findings of follow‐up interviews with some local SMEs regarding the perceived benefits of and barriers to ISO 9000. Based on the experience in Singapore, ISO 9000 certification has provided significant benefits for SMEs. The journey towards TQM will, however, require not only full commitment of the Company Management, but also a quality culture created externally by the government which is crucial to the progress beyond ISO 9000.
