    Abstract:

    Does a legal tradition adopted in the distant past constrain a country's ability to provide the protection that investors need for financial markets to develop? I look at the relationship between legal origin and the development of bond markets and find too much variation over time in bond market size, creditor protections, and court enforcement of bond contracts to assume that the adoption of a legal system constrains future financial development. I examine the evolution of bond markets in Brazil, a French Civil Law country, and provide preliminary results of similar variation for a small cross-section of countries.

    Abstract:

This paper contributes to the literature that studies the connection between Law and finance by looking at the relationship between legal origin and the development of bond markets. The paper shows that there is too much variation over time in terms of bond market size, creditor protections, and court enforcement of bond contracts to assume that the adoption of a legal system can constrain future financial development.     Abstract:

    The Indonesian criminal justice system based on the Code of Criminal Procedure (KUHAP) has reduced or even eliminated the important role of individual in the settement of criminal case with Civil-Law agreement aspect.  The search for justice in criminal case with Civil-Law agreement aspect fully relies on the ability of the integrated system built by the police, judge and penal institution. On the other hand, the result of the effort done outside the court, such as the results of the negotiation and peaceful settlement, do not have the legal power to be used as the consideration for trial process.  The settlement of the criminal case with Civil-Law agreement aspect through the criminal justice process always ends in the situation of “lost-lost” or “win-lost”. Therefore, it is necessary to create an alternative concept for the settlement of criminal case with Civil-Law agreement aspect through penal mediation in order to make win-win solution. In order to develop and reform the Indonesian criminal Law, it is necessary to carry out a research into the ideal reconstruction of penal mediation model as an alternative of the settlement of the criminal case with Civil-Law agreement aspect in the future criminal justice system of Indonesia. According to the result of research and analysis, the reconstruction of penal mediation process as an alternative for the settlement of criminal case with Civil-Law agreement aspect in the future Indonesian criminal justice system is to develop the model of criminal case settlement which can be done by offering two alternatives: criminal justice process or penal mediation. The mechanism of the settlement through the penal mediation can be done through the settlement pattern using the adat Law or national Law. The settlement of criminal case with Civil-Law agreement aspect through penal mediation by using the mechanism of adat Law is aimed at preserving and acknowledging the existing adat Law in Indonesia.     Abstract:

    It is a common phenomenon in the community that there are legal bindings which seem to have the characteristics of Civil Law (individual contract), but  they actually indicate the characteristics of criminal conducts. This is because the contracts are only used as covers for crimes, such as falsification of documents, embezzlement and fraud. If such a case is processed in the criminal trial, the ending will be a situation with the characteristics of ”lost-lost” or ”win-lost”. Therefore  an alternative concept is needed to settle criminal casescontaining Civil-Law aspect through penal mediation in order to reach win-win solution. In relation with the development and renewal of the Indonesian Criminal Law, it is necessary to conduct a study whether or not penal mediation can be the alternative for the settlement of criminal case containing Civil-Law aspect in the Indonesian criminal justice system. According to the result of the research and the analysis, penal mediation can be applied as the alternative for the settlement of criminal case with Civil-Law aspect in the Indonesian  Criminal Justice System because : (a) penal mediation will reduce the burden of the criminal justice system and this, in turn, will bring about positive impact to the quick trial process, simple and low-cost trial;  (b) penal mediation is an alternative for the settlement of criminal cases with Civil-Law aspect that can actively involve the victims and such an alternative  has an autonomous characteristic giving the best solution for the victim, especially related to the type, form and method of compensation; (c) penal mediation can give chances for the perpetrators to make amend for their gulits as a form of responsibility and free the perpetrators from their guilty feelings. Отмечается, что реализация интереса физического лица достигается ее индивидуальными действиями путем объединения лиц или сочетанием капитала, что приводит к созданию самостоятельной юридической конструкции в гражданском пра-ве, которая становится фикцией физического лица. Поскольку государство рассматри-вается как союз интересов лиц, объединенных в единый социальный организм с целью обеспечения их реализации, то логично, что юридическое лицо синтезирует в себе не только признаки, присущие корпорации, но и признаки, которые характерны государ-ству как субъекту права. Через соотношение конструкции государства и юридических лиц можно утверждать единство природы их формирования в частном праве. English Abstract: The article is devoted to studying the place of the state in the system of subjects of the Civil Law. It is noted that the realization of the interest of individual achieved by his/her individual actions, by means of combining individuals or a combination of capital, which leads to the creation of independent legal structure in the Civil Law, which becomes a fiction of the individual namely. Since the state is an alliance of the interests of persons united in a single social organism in order to ensure their implementation, it is logical that legal entity synthesizes not only the characteristic features of a corporation, but also the features that are characteristic for the state as a subject of the Law. The state has no independent status as a subject of the Civil Law. Due to the relationship between the construction of the state and legal entities, we can assert the unity of the nature of their formation in the private Law.

It is noted that the realization of the interest of individual achieved by his/her individual actions, by means of combining individuals or a combination of capital, which leads to the creation of independent legal structure in the Civil Law, which becomes a fiction of the individual namely. Since the state is an alliance of the interests of persons united in a single social organism in order to ensure their implementation, it is logical that legal entity synthesizes not only the characteristic features of a corporation, but also the features that are characteristic for the state as a subject of the Law. The state has no independent status as a subject of the Civil Law. Due to the relationship between the construction of the state and legal entities, we can assert the unity of the nature of their formation in the private Law.

    Ukrainian Abstract: Держава займає відповідне місце в системі суб’єктів цивільного права. Оскільки, реалізації інтересу фізичної особи, досягається її індивідуальними діями, шляхом об’єднання осіб або поєднанням капіталу, що призводить до створення самостійної юридичної конструкції в цивільному праві, яка стає фікцією саме фізичної особи. Основна мета роботи полягає в аналізі питань щодо держави в системі суб’єктів цивільного права України. Автором доведено, що оскільки держава – це союз інтересів осіб, об’єднаних в єдиний соціальний організм з метою забезпечення їх реалізації, то юридична особа логічно синтезує в собі не тільки ознаки присутні корпорації, але й ознаки, які присутні державі як суб’єкту права. Автором наводено аргументацію про те, що держава, в якості суб’єкта цивільного права, не може мати самостійного статусу. Через співвідношення конструкції держави та юридичних осіб стверджується єдність природи їх формування в приватному праві. Природня дефектність дієздатності держави унеможливлює реалізацію її суб’єктивних цивільних прав та виконання юридичних обов’язків в інший спосіб, ніж встановлений для виконання нею публічно-правових функцій, тобто через органи державної влади. Така модель відносин між державою та юридичними особами публічного права вписується в конструкцію інституту представництва. Розкривається правоздатність держави, обґрунтовується її універсальний характер. Наводяться аргументи на користь спеціальної правоздатності органів державної влади за цивільним законодавством України. Due to the relationship between the construction of the state and legal entities, we can assert the unity of the nature of their formation in the private Law. The obvious special features of the state that are of a public-Law nature do not exclude such features in the private-Law sphere that are present in legal entity (organizational unity, property autonomy, independent property liability, participation in Civilian circulation on its own behalf) do not change its goals in this area. The natural deficiency of the state capacity makes it impossible to realize its subjective Civil rights and fulfill legal obligations in a way different from that established for its public-Law functions, that is, through the state authorities. Such model of relations between the state and legal entities of public Law fits into the design of the institution of representation. But this is not methodologically justified. Public authorities should not have legal entity status. The legal capacity of the state is revealed, its universal character is substantiated. Arguments are put forward in favor of the special legal capacity of the state authorities under the Civil Law of Ukraine.
