    Abstract:

    This paper develops a framework for analyzing transactions that transfer a company's controlling block from an existing controller to a new controller. This framework is used to compare the Market Rule, which is followed in the United States, with the equal opportunity Rule, which is used in many other countries. The Market Rule is superior to the equal opportunity Rule in facilitating efficient transfers of control but inferior to it in discouraging inefficient transfers. Conditions under which one of the two Rules is overall superior are identified; for example, the Market Rule is superior if existing and new controllers draw their characteristics from the same distributions. Finally, the Rules' effects on surplus division are analyzed, and this examination reveals a rationale for mandatory Rules.

    We consider Market Rules for transferring IP addresses, numeric identifiers required by all computers connected to the Internet. Transfers usefully move resources from lowest- to highest-valuation networks, but transfers tend to cause socially costly growth in the Internet's routing table. We propose a Market Rule that avoids excessive trading and comes close to achieving social efficiency. We argue that this Rule is feasible despite the limited powers of central authorities. We also offer a framework for reasoning about future prices of IP addresses, then explore the role of rentals in sharing information about the value of IP address and assuring allocative efficiency.     Real estate tax is regarded as the last method to lower the price of real estate by some people.But the legislation of real estate tax is not perfect,and there are many ill-matched behaviors in the enforcement of tax law.What's more,the trying parochial tax law is flawy.So there is a long time to get a fair and just real estate tax law.According to the principle of tax basing on law and the principle of administering by law,scientific law and serious enforcement are necessary for a new tax levy.Otherwise real estate tax will be alien to the Market Rule and it is difficult to control the real estate Market.Except for taxation, there are still many factors influencing the price of real estate,such as the demand and provision of Market,inflation,the price of the land,and all kinds of fees.So it is impossible to successfully deal with the high price of real estate by only imposting a tax on people who possess non-business real estate.

    In recent years,slotting all owances have become the focus of conflicts between retailers and suppliers.The Fair Trade Management Regulations for Retailers and Suppliers which came into force in 2006 cannot have the expected effect of normalizing and reducing slotting allowances;slotting allowances with the characteristics of two-sided Market have raised some challenges to the traditional regulatory policy.This paper analyzes the waterbed effects of slotting allowances regulations,so as to explain why the government is in the regulation dilemma.By constructing the framework of two-sided Markets involving the problems of slotting allowances with the two-sided Market theory,it draws a conclusion that slotting allowances are the Market Rules to balance demands of both sides of consumers and internalize the externalities of the network.On this basis,it further discusses the regulatory principles for slotting allowances.
