    Abstract:

    This paper is a reflection by a law school teacher and Corporate Lawyer about learning from the design disciplines. The paper describes how design influences the author’s understanding of and approach to legal documents, his use of visual methods in doing legal work and engaging with students, and concepts and language he uses in talking about legal work and legal practice. The paper suggests that practitioners and teachers need not go all-in on “design thinking” to benefit from design. Instead, they can improve their advice and work-product, and their development support of students and new Lawyers, through modest refinements in practice inspired by design mindsets and methods.

    When conducting an internal investigation into potential wrongdoing within a corporation on behalf of a Corporate client, a Corporate Lawyer has an ethical duty to warn the employee interviewee that the Lawyer represents the corporation, rather than the interviewee, and that the corporation may eventually waive the attorney-client privilege, which would allow for the disclosure of the employee's communications with the attorney. However, attorneys often give "watered-down" warnings in an effort to extract full information from employees and zealously represent their clients, the employer corporations.As the result of these "watered-down" warnings, many individual employees have disclosed information to Corporate attorneys, believing that they were communicating within a personal attorney-client relationship. The Circuits are split on whether an individual employee who had a reasonable belief that he was communicating with his counsel can assert the attorney-client privilege to block the disclosure of his communications when the corporation waives the privilege.This article examines the differing judicial approaches within the framework of the major theoretical justifications for the attorney-client privilege, utilitarian justifications, and individual rights-based justifications. In doing so, the article exposes the weaknesses of the approach that errs in favor of the corporation and disclosure, and argues that the only approach justifiable by utilitarianism or rights-based justifications is the approach that errs in the favor of the individual and confidentiality.

    ABSTRACTFormal representations of Lawyer–client relations are often characterised by their regulative aspects, including codes of ethics and practice. In this article I look inside the relationship by returning to the sociology of Georg Simmel, who closely examined the basic units of sociality, especially dyads and triads. Using examples drawn from empirical research on Corporate Lawyers and clients and banks, I open up the Lawyer/client dyad and show that in most cases the practices of Lawyers and banks add noise and interference to the relationship. The reason is that in many situations the basic unit of analysis for Lawyer–client relationships should be the triad rather than the dyad. Whereas dyads are fundamentally stable, triads are the reverse, as they allow for alliances and defections creating permanent uncertainty.     Abstract:

    (Revised May 2009) The relationship between law firms and banks has a long history. Bankers and Lawyers constantly work together on transactions so that their relationships are deep and enduring. Through the use of ethnography and interviews this paper examines this relationship and that of the Lawyer and client. Because of the unusually tight relationship between bankers and Lawyers, the Lawyer-client relationship needs to be reconstituted. It is not possible to perceive it as merely a dyadic relationship; it is now multi-polar. Even though clients may be sophisticated repeat players, clients are caught up in a relationship where they will always be secondary to the primary relationship of banker and Lawyer.

HRIR MAKES US INDIUIOURLS! rMULTI CULTURAL COMMITTEE Wilson Junior High is fortunate to have in attendance students from many different cultures, In keeping with the Canadian premise that we should recognize and respect the cultural heritage of each of our students, we have committed ourselves to promoting increased understanding, appreciation and acceptance of our individual differences and our collective similiarities. There were many activities and projects during the 1989-90 school year which recognize the multi-ethnic nature of our school. Language Arts students in all grade levels complered units with a multicultural theme. Students in Physical Education were pained with ESC students in helping each other to improve their fitness. Science classes studied the many scientific codntributions made by scientists from all parts of the world. Music Drama and Art students were exposed to music, drama and art from many cultures. Social Studies students studied a variety of factors which make different cultures unique. In the spring, ail students were invited to participate in an International Festival which celebrated the music, dance and foods of ethnic groups in our school. Families of new Canadians were pained with other families in an effort to make new families feel welcome in our community. Our school administration, parent advisory committee and ESC parents have been very supportive in promoting these activities. But it was music of another kind.     Abstract:

    The Corporate Lawyer-client privilege is increasingly controversial. Courts assert that the privilege promotes Corporate compliance with the law as long as it is restricted to communications in furtherance of legal advice. This article assumes the privilege increases the probability that a corporation will escape liability. Courts can apply various tests to determine whether the agent who communicated with the Corporate attorney can be defined as a representative of the corporation. The most restrictive test, the control group test, has been rejected by most American jurisdictions, but it has recently re-emerged in the United Kingdom. The author proposes that this test motivates corporations to restructure their optimal internal decision-making processes in order to squeeze into the privilege. When plaintiffs are uninformed about the internal organization of a Corporate defendant, even corporations that cannot squeeze into the test have an incentive to mimic the behavior of privileged corporations, and consequently pursue socially harmful actions. These findings are supported by case law from control group jurisdictions.
